BOARD CHANGES

Two members of our board of directors retired during 2000. We will miss the insights and stewardship of both Anne L. Armstrong, who served for 17 years, and Drew Lewis, who served for 14 years. And we were deeply saddened by the news that Howard L. Clark, who served as chairman, president and CEO during the years 1960 to 1977, died in early February 2001 at the age of 84. In addition to his decades of distinguished service within the ranks of American Express, following his retirement he served as a director of the company for six years, and from 1983 until 1993 he served as an advisor to the board. He will be greatly missed.
